Notice of Application to Form Bank Holding Companies and Acquire a Bank OakNorth UK Holdings Limited (“UK Topco”), a United Kingdom-based private limited company; OakNorth Holdings Limited (“Jerseyco”), a Jersey-registered private company headquartered in St. Helier, Jersey; OakNorth Interim Holdings Limited (“Bank Holdco”), a United Kingdom-based private limited company; and OakNorth U.S. Holdings LLC (“US Holdco”), a Delaware-based limited liability company have applied to the Federal Reserve Board for permission to become bank holding companies and acquire a bank. UK Topco, Jerseyco, Bank Holdco and US Holdco intend to acquire control of Community Unity Bank (“CUB”), Birmingham, Michigan, and OakNorth Interim Bank, National Association (“Interim Bank”), an interim bank with its main office in Birmingham, Michigan, that will be newly chartered to facilitate the transaction. CUB will merge with and into Interim Bank, with Interim Bank continuing as the surviving bank (the “Bank Merger”). Upon consummation of the Bank Merger, Interim Bank will be renamed “OakNorth Bank, National Association.” OakNorth Bank, National Association’s main office will be in Birmingham, Michigan. The Federal Reserve considers a number of factors in deciding whether to approve the application including the record of performance of banks we own in helping to meet local credit needs.
